Prokaryotic cells do not contain a nucleus or any other membrane-bound organelle, while Eukaryotic cells contain membrane-bound organelles, including a nucleus.

Prokaryotic cells have no defined nucleus, the 'brain' of the cell just floats around in the cytoplasm. Eukaryotic cells contain the DNA strands within a nucleus.

Prokaryotic cells also came first, and are less evolved.
